Terms & Conditions

Welcome to MiPartyApp™. These Terms & Conditions (“Terms”) govern your access to and use of MiPartyApp websites, event experiences, applications, dashboards, QR-code experiences, vendor services, affiliate services, and related products and services (collectively, the “Platform”). The Platform is operated by MiPartyApp LLC (“MiPartyApp,” “we,” “our,” or “us”).

By creating an account, purchasing a plan, accessing an event, uploading content, participating as a Guest, Vendor, Affiliate, or Sponsor, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. About MiPartyApp

MiPartyApp is an event-experience and SaaS platform designed to connect event hosts, guests, vendors, affiliates, and sponsors.

Depending on the plan and features available, MiPartyApp may provide event pages, QR-code access, guest photo and video uploads, galleries, RSVPs, guestbooks, vendor listings, sponsor placements, affiliate tracking, analytics, storage, communications, and other event-related services. Features may vary by account type, subscription, location, and availability.

2. Eligibility and Accounts

You must provide accurate and current information when creating an account. You are responsible for:

Certain roles, including Affiliates and Vendors, may require additional verification, tax information, payout information, or approval.

MiPartyApp may refuse, suspend, restrict, or terminate accounts when reasonably necessary to protect the Platform, its users, comply with law, investigate fraud or abuse, or enforce these Terms.

3. Members and Event Hosts

Members may create and manage event experiences subject to their applicable plan. Depending on the plan, Members may be able to:

The Member or Event Host is responsible for the event information they publish and for configuring appropriate privacy and access settings.

4. Guests

Guests may access an event through a QR code, direct link, invitation, or other authorized method. Depending on the event settings, Guests may be able to:

Guests must comply with these Terms and any additional rules established by the Event Host that are consistent with MiPartyApp policies.

5. User-Generated Photos, Videos and Content

Users retain ownership of original content they lawfully own. By uploading photos, videos, messages, logos, business information, reviews, or other content to MiPartyApp, you represent that you have the rights and permissions necessary to upload and use that content.

You grant MiPartyApp a limited, non-exclusive license to host, store, reproduce, process, resize, transcode, display, transmit, back up, and otherwise technically process the content as reasonably necessary to provide, secure, maintain, and improve the Platform and deliver the event experience you requested. This license does not transfer ownership of your original content to MiPartyApp.

You may not upload content that:

MiPartyApp may remove, restrict, quarantine, or disable access to content when reasonably necessary for safety, legal compliance, copyright concerns, privacy requests, abuse prevention, or enforcement of these Terms.

6. Content Moderation

Event Hosts may have primary moderation controls over content submitted to their events. MiPartyApp may also use automated systems, human review, reporting tools, or other processes to identify potentially prohibited or harmful content. MiPartyApp does not guarantee that all inappropriate content will be detected before it is displayed or accessed. Users may report inappropriate content or request removal of personal media through the available support or reporting process.

7. Events Involving Minors

Some MiPartyApp events may involve children or teenagers. Event Hosts are responsible for using appropriate privacy settings and obtaining any permissions required by applicable law when collecting, uploading, displaying, or sharing content involving minors. MiPartyApp may implement additional protections, restrictions, or removal procedures for content involving minors. See our Privacy Policy for further detail.

8. Vendors

Vendors may create business profiles and, depending on their plan, receive marketplace visibility, event eligibility, inquiries, analytics, promotional opportunities, and other features. MiPartyApp does not guarantee:

Vendor placement may depend on plan, geography, category, availability, Event Host choices, eligibility, Platform rules, and other factors.

8.1 We do not vet or endorse Vendors

MiPartyApp is a place to find Vendors and contact them. We are not a party to any agreement, booking, or payment between an Event Host and a Vendor, and we do not collect, hold, or transmit money between them. We do not review, vet, endorse, warrant, or make any representation about any Vendor, their identity, their qualifications, their insurance or licensing, or the quality, safety, or legality of anything they provide. We do not perform background checks on Vendors. Listings are written by Vendors themselves, and we do not verify their statements. You are responsible for satisfying yourself about any Vendor before hiring them, and for the terms you agree with them.

8.2 “Sponsored” means paid placement

Vendors may pay MiPartyApp for placement in the Vendor directory. Where a listing is labelled Sponsored, that label means only that the Vendor paid for placement, and such listings are ordered above Vendors who have not paid. It is not an endorsement, recommendation, certification, verification, or guarantee by MiPartyApp, and it is not a statement that the Vendor is licensed, insured, suitable, or better than any other Vendor. Within each group, listings are ordered by distance from the location you searched.

9. Sponsors

Event Hosts or other authorized parties may display Sponsors within an event. Sponsors are responsible for the accuracy and legality of their names, logos, offers, links, advertisements, and other submitted materials. Unless specifically authorized, Sponsors do not receive access to private Guest or event data.

10. Affiliates

Approved Affiliates may receive referral links, tracking codes, campaign materials, dashboards, and access to eligible commission opportunities. Affiliate compensation may be subject to:

Commissions may appear as estimated, pending, approved, paid, reversed, or disputed. A sale that is cancelled, refunded, charged back, fraudulent, unpaid, or otherwise determined to be ineligible may result in cancellation or reversal of the related commission or revenue share.

Affiliates may not make false or misleading representations about MiPartyApp. Affiliates may not guarantee income, earnings, profits, business success, customer acquisition, or investment returns. Any earnings examples, projections, calculators, presentations, or illustrations are examples only and do not guarantee actual results.

Where applicable, approved Affiliate payouts are generally scheduled for the 27th of the month, subject to qualification, refund/chargeback periods, account standing, required tax or payout documentation, and other applicable program rules. MiPartyApp may establish separate Affiliate Program Terms that supplement these Terms.

11. Subscriptions and Billing

Certain MiPartyApp products require payment. By purchasing a subscription or paid service, you authorize MiPartyApp and its payment processor to charge the applicable fees, taxes, and disclosed charges.

Subscriptions may be offered on monthly, multi-month, annual, or other terms. Where recurring billing applies, the subscription may automatically renew unless cancelled according to the cancellation terms presented at purchase or required by applicable law.

Pricing and features may change. Material changes affecting an existing subscription will be communicated as required by applicable law and the applicable subscription terms.

12.1 Taxes

Prices are stated exclusive of tax. You are responsible for any sales, use, VAT, GST, duties, or similar governmental charges arising from your purchase or your use of the Platform, other than taxes based on MiPartyApp’s own net income.

Where MiPartyApp is required to collect a tax on a transaction, that amount will be added to the charge and shown to you before payment. Amounts we do not collect remain your responsibility, and nothing here is tax advice — MiPartyApp does not determine what you owe, and you should take your own advice where the position is unclear.

12. Seven-Day Refund and Cancellation Policy

Unless a different written agreement or legally required policy applies, eligible first-time purchases may be cancelled within seven (7) calendar days of the original purchase date for a refund. The seven-day period begins on the date the initial eligible payment is successfully processed.

Refund requests must be submitted through MiPartyApp’s designated support or cancellation process. After the seven-day period, payments are generally non-refundable except where required by law or expressly provided in another written agreement. Refunds do not include third-party costs that MiPartyApp cannot recover where such exclusions are legally permitted and were appropriately disclosed.

A refunded or charged-back transaction may cause any associated Affiliate commission, revenue share, credit, bonus, or other compensation to be cancelled or reversed. Cancelling a recurring subscription prevents future renewals according to the applicable billing terms but does not automatically create a refund for amounts already paid outside the eligible refund period.

13. Memory Vault, Storage and Expiration

Media availability, retention periods, storage limits, download rights, and Memory Vault duration may depend on the selected plan. Users are responsible for downloading important photos, videos, or other content before the applicable retention or expiration period. MiPartyApp should not be treated as the user’s only permanent backup system. Where available, users may be offered an opportunity to renew or extend storage. MiPartyApp does not guarantee indefinite storage of event content.

Users may receive transactional communications concerning:

Marketing email or SMS communications will be handled according to applicable consent requirements and available opt-out mechanisms.

15. Intellectual Property

MiPartyApp™, its software, platform architecture, logos, branding, designs, interfaces, documentation, processes, and other proprietary materials are owned by MiPartyApp or its licensors. Nothing in these Terms transfers ownership of MiPartyApp intellectual property to a user, Affiliate, Vendor, or Member.

16. Third-Party Services

MiPartyApp may integrate with third-party providers for payment processing, storage, email, SMS, mapping, analytics, CRM, artificial intelligence, hosting, and other services. Third-party services may be governed by their own terms and privacy policies. MiPartyApp is not responsible for third-party services outside its reasonable control.

17. Service Availability and Future Features

MiPartyApp may modify, improve, replace, discontinue, or introduce Platform features. Descriptions of planned, beta, AI-enabled, mobile, or future features do not guarantee a release date or continued availability. Users should make purchasing decisions based on features confirmed as available for their applicable plan at the time of purchase.

18. No Earnings or Business Guarantee

MiPartyApp provides technology, tools, exposure, referral capabilities, and business opportunities. MiPartyApp does not guarantee:

You may not use MiPartyApp to:

20. Suspension and Termination

MiPartyApp may suspend or terminate access for material violations of these Terms, fraud, nonpayment, security threats, unlawful activity, abuse, or other circumstances permitted by applicable law. Users may cancel eligible subscriptions through the available cancellation process. Termination may affect access to dashboards, event experiences, stored media, commissions, and other Platform features.

21. Disclaimers

The Platform is provided on an “as available” basis to the extent permitted by applicable law. MiPartyApp does not warrant that the Platform will always be uninterrupted, error-free, or compatible with every device, browser, network, third-party service, or file format. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

22. Limitation of Liability

To the maximum extent permitted by applicable law, MiPartyApp will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Platform, loss of data, lost profits, business interruption, third-party conduct, or unauthorized content.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIPARTYAPP LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO MIPARTYAPP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

23. Indemnification

You agree to indemnify, defend, and hold harmless MiPartyApp LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

24. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved exclusively through binding arbitration in Houston, Texas, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters.

YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

MiPartyApp may update these Terms as the Platform evolves. When required, MiPartyApp will provide notice of material changes. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by applicable law.
