    Terms of Service

    Welcome to MiPartyApp. These Terms of Service ("Terms") govern your access to and use of the MiPartyApp platform, website, mobile application, and related services (collectively, the "Service") provided by MiPartyApp LLC ("MiPartyApp," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

    1. Acceptance of Terms

    By accessing or using MiPartyApp, you confirm that you are at least 18 years of age (or the legal age of majority in your jurisdiction), have read and understood these Terms, and agree to be legally bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

    2. Description of Service

    MiPartyApp is a digital event platform that allows users ("Event Organizers") to create fully branded event apps for weddings, corporate events, quinceañeras, birthdays, and other special occasions. The Service includes features such as:

    • Branded event page creation
    • Guest media collection (photos and videos)
    • Donation and payment acceptance
    • Vendor directory and featured listings
    • Guest engagement tools

    We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with or without notice.

    3. Account Registration

    3.1 Account Creation

    To access the Service, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your account information updated.

    3.2 Account Security

    You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@mipartyapp.com of any unauthorized use of your account.

    3.3 One Account Per User

    You may not create multiple accounts for deceptive or abusive purposes. We reserve the right to suspend accounts at our sole discretion.

    4. Subscription Plans and Payments

    4.1 Pricing

    MiPartyApp offers various subscription plans and one-time event packages. Pricing is displayed on our Pricing page at https://mipartyapp.com/pricing and is subject to change with notice.

    4.2 Billing

    Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). You authorize MiPartyApp to charge your chosen payment method for all fees associated with your plan.

    4.3 Free Trials

    If MiPartyApp offers a free trial, your payment method will be charged at the end of the trial period unless you cancel before the trial ends.

    4.4 Refund Policy

    All fees are non-refundable unless otherwise stated or required by applicable law. If you believe you were charged in error, please contact us within 30 days of the charge at billing@mipartyapp.com.

    4.5 Taxes

    You are responsible for any applicable taxes, duties, or governmental charges related to your use of the Service.

    5. User-Generated Content

    5.1 Your Content

    You and your event guests may upload, submit, or share photos, videos, messages, and other content ("User Content") through the Service. You retain ownership of your User Content.

    5.2 License to MiPartyApp

    By uploading User Content, you grant MiPartyApp a non-exclusive, worldwide, royalty-free, sublicensable license to store, host, process, display, and distribute that content solely for the purpose of providing and improving the Service. We will not sell your User Content to third parties.

    5.3 Guest Media and Consent

    As an Event Organizer, you are solely responsible for obtaining all necessary consents from event guests before collecting or publishing their photos, videos, or personal information through the Service. MiPartyApp is not liable for any failure to obtain such consents.

    5.4 Content Standards

    You agree not to upload or share content that:

    • Is unlawful, defamatory, obscene, or harmful
    • Infringes any third-party intellectual property rights
    • Contains malware, viruses, or harmful code
    • Violates any individual's privacy rights
    • Is misleading, fraudulent, or deceptive

    MiPartyApp reserves the right to remove any content that violates these standards without notice.

    6. Donations and Financial Transactions

    6.1 Donation Features

    MiPartyApp may allow Event Organizers to accept donations or payments from event guests. MiPartyApp is not a payment processor and processes payments through third-party payment providers.

    6.2 Event Organizer Responsibility

    Event Organizers are solely responsible for:

    • The accuracy of donation descriptions and campaigns
    • Fulfillment of any promises made to donors
    • Compliance with applicable fundraising and tax laws
    • Proper handling and use of collected funds

    6.3 Transaction Fees

    Third-party payment processing fees may apply to donations and payments. These fees are disclosed at the time of transaction and are non-refundable.

    7. Vendor Listings

    7.1 Vendor Directory

    MiPartyApp may feature third-party vendors ("Vendors") within the Service. These Vendors are independent third parties and not employees or agents of MiPartyApp.

    7.2 No Endorsement

    Inclusion in the MiPartyApp vendor directory does not constitute an endorsement, recommendation, or guarantee of any Vendor's products or services. You engage with Vendors at your own risk.

    7.3 Vendor Disputes

    Any disputes between you and a Vendor are solely between you and that Vendor. MiPartyApp is not responsible for resolving such disputes.

    8. Intellectual Property

    8.1 MiPartyApp IP

    All content, features, software, trademarks, logos, and designs comprising the Service (excluding User Content) are the intellectual property of MiPartyApp LLC and are protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

    8.2 Feedback

    If you provide us with feedback, suggestions, or ideas, you grant MiPartyApp a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.

    9. Prohibited Uses

    You agree not to use the Service to:

    • Violate any local, state, national, or international law or regulation
    • Impersonate any person or entity
    • Transmit spam or unsolicited communications
    • Scrape, crawl, or extract data from the Service without permission
    • Circumvent any security or access control measures
    • Use the Service for commercial purposes not authorized by these Terms
    • Interfere with or disrupt the integrity of the Service or servers

    10. Third-Party Services and Links

    The Service may integrate with or link to third-party services (e.g., payment processors, social media platforms). Your use of third-party services is governed by those parties' terms and privacy policies. MiPartyApp is not responsible for the content, practices, or policies of any third-party service.

    11. Disclaimers

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MIPARTYAPP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

    12. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIPARTYAPP LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO MIPARTYAPP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

    13. Indemnification

    You agree to indemnify, defend, and hold harmless MiPartyApp LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

    14. Termination

    14.1 By You

    You may cancel your account at any time by visiting your account settings or contacting us at support@mipartyapp.com. Cancellation will take effect at the end of your current billing period.

    14.2 By MiPartyApp

    We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately.

    14.3 Effect of Termination

    Upon termination, we may delete your account data and User Content. We are not liable for any loss resulting from such deletion. Provisions of these Terms that by their nature should survive termination shall survive.

    15. Governing Law and Dispute Resolution

    These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved exclusively through binding arbitration in Houston, Texas, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters.

    YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

    16. Changes to These Terms

    We reserve the right to update these Terms at any time. When we make material changes, we will notify you via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

    17. Miscellaneous

    • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and MiPartyApp regarding the Service.
    • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
    • No Waiver: Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
    • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
