Vendor & Marketplace Terms
Effective September 30, 2026 · Version 2026-09-30
CURRENT BUSINESS MODEL: Vendors pay MiPartyApp for Star Package advertising and visibility. MiPartyApp does not take a percentage of a Vendor’s customer booking or service revenue solely because the customer found or contacted the Vendor through MiPartyApp. Affiliate compensation is separate from Vendor customer transactions.
1. Scope and Acceptance
These Vendor & Marketplace Terms (the “Vendor Terms”) govern participation by businesses, independent professionals, service providers, merchants, and other sellers (“Vendors”) in MiPartyApp vendor directories, event placements, lead-access features, sponsored placements, advertising programs, and related Vendor services (collectively, the “Vendor Marketplace”).
These Vendor Terms supplement the MiPartyApp Terms & Conditions (“Master Terms”), Privacy Policy, Refund & Cancellation Policy, the Vendor’s Star Package checkout terms, and any separate written agreement accepted by the Vendor. By creating a Vendor account, purchasing or renewing a Star Package, submitting a Vendor profile, accessing Vendor features, or using the Vendor Marketplace, the Vendor agrees to these Vendor Terms.
If a mutually signed written agreement expressly conflicts with these Vendor Terms, that agreement controls only for the subject of the conflict.
2. Current Vendor Business Model
Under the current MiPartyApp Vendor model, MiPartyApp sells advertising, visibility, promotional placement, profile access, lead-access features, and related Vendor tools through Star Packages. Star Package fees are the amounts the Vendor pays MiPartyApp for the applicable advertising term and included features.
MiPartyApp does not currently charge the Vendor a marketplace commission, referral percentage, booking commission, transaction commission, or revenue share on the amount the Vendor charges its own customer solely because that customer viewed, discovered, contacted, or booked the Vendor through MiPartyApp.
Accordingly, after paying the applicable Star Package fee, the Vendor keeps its own customer revenue, subject to the Vendor’s own taxes, refunds, payment-processing costs, contractual obligations, and other business expenses. MiPartyApp’s current compensation from the Vendor is the disclosed Star Package fee unless the Vendor separately agrees in writing or through an affirmative electronic acceptance to another paid product or future transaction-based program.
3. Star Packages
MiPartyApp currently offers the following Vendor advertising packages. Package pricing, benefits, and terms shown at checkout control if they are updated prospectively after these Vendor Terms are published.
| Package | Price / Term | Included Advertising & Visibility | Renewal |
|---|---|---|---|
| 1 Star Package | $450 / 3 months | Featured on event pages in the Vendor’s area; business profile with logo and description; access to event owner contact leads; basic analytics dashboard; 3-month advertising placement. | Renews automatically unless cancelled. Cancel anytime to stop future renewals. |
| 2 Star Package | $850 / 6 months | Everything included in the 3-month package; priority placement over 3-month Vendors; Sponsored Vendor badge on listings; 6-month advertising placement. | Renews automatically unless cancelled. Cancel anytime to stop future renewals. |
| 3 Star Package | $1,500 / 12 months | Everything included in the 6-month package; top featured Vendor placement; priority support and account manager; 12-month advertising placement. | Renews automatically unless cancelled. Cancel anytime to stop future renewals. |
3.1 Advertising purchase, not guaranteed results
A Star Package purchases the disclosed advertising term, placement eligibility, profile features, lead-access features, analytics, and other stated benefits. It does not purchase or guarantee a particular number of impressions, leads, inquiries, bookings, customers, sales, revenue, profit, or return on investment.
3.2 Placement differences
MiPartyApp may use package level, geography, event type, category, availability, account status, customer preferences, and other reasonable Marketplace factors when displaying Vendors. “Sponsored,” “Featured,” “Priority,” or similar labels describe paid placement or package benefits and do not constitute an endorsement, certification, verification, or guarantee by MiPartyApp.
3.3 Automatic renewal and cancellation
Star Packages renew automatically for the same package term at the then-disclosed renewal price unless the Vendor cancels before the next renewal charge or applicable law requires a different process. “Cancel anytime” means the Vendor may stop future automatic renewals at any time through the available cancellation process; cancellation does not by itself create a refund for a current paid term except as provided by the MiPartyApp Refund & Cancellation Policy or applicable law.
4. Affiliate Compensation Is Separate from Vendor Revenue
MiPartyApp may compensate an eligible Affiliate when the Affiliate refers a Vendor who purchases an eligible Star Package. Under the current program structure, the standard Affiliate commission is twenty percent (20%) of the eligible Star Package payment, and MiPartyApp retains the remaining eighty percent (80%), subject to the Affiliate Program Terms, refunds, chargebacks, taxes, discounts, credits, payment failures, and other eligibility rules.
The 20% Affiliate commission is compensation paid by MiPartyApp from an eligible Star Package sale. It is not an additional charge against the Vendor’s customer booking, and it does not give the Affiliate a percentage of the Vendor’s service revenue.
Affiliate eligibility, attribution, payout timing, reversals, account-standing requirements, tax documentation, and other compensation rules are governed by the applicable Affiliate Program Terms. Under the current program structure, the twenty percent (20%) Affiliate commission also applies to each eligible automatic renewal payment by a Vendor originally attributed to that Affiliate, for as long as the Vendor remains on an eligible renewing Star Package and the Affiliate remains eligible and in good standing under the Affiliate Program Terms. Nothing in these Vendor Terms creates a right for a Vendor to receive Affiliate compensation unless the Vendor is separately approved as an Affiliate and satisfies those terms.
4.1 Current Star Package economics
| Star Package | Vendor Payment | 20% Eligible Affiliate Commission | 80% Retained by MiPartyApp |
|---|---|---|---|
| 1 Star | $450 | $90 | $360 |
| 2 Star | $850 | $170 | $680 |
| 3 Star | $1,500 | $300 | $1,200 |
The examples above apply to both an eligible initial Star Package payment and each eligible automatic renewal payment at the applicable package price. Actual Affiliate compensation may differ when discounts, credits, taxes, refunds, chargebacks, payment failures, package changes, or other adjustments affect the eligible commission base under the Affiliate Program Terms.
5. Vendor Customer Revenue and Direct Transactions
Vendors set their own prices and contract directly with their customers unless MiPartyApp expressly introduces a different transaction feature under separately accepted terms. Under the current Star Package model, MiPartyApp does not claim 5%, 10%, 15%, 20%, or any other percentage of a Vendor’s customer transaction solely because the customer originated from a MiPartyApp event page, Vendor profile, lead, listing, QR experience, inquiry, or other MiPartyApp exposure.
Vendors are responsible for their own estimates, proposals, deposits, contracts, invoices, payment collection, fulfillment, cancellations, refunds, warranties, taxes, disputes, and customer service. MiPartyApp is not a party to those Vendor-customer agreements under the current model.
6. Event Owner Contact Leads and Customer Information
Depending on the Star Package and available features, Vendors may receive access to event-owner contact leads or other inquiry information. Lead access is provided for legitimate business follow-up related to the event or inquiry and must be used in accordance with applicable privacy, marketing, telephone, email, and text-message laws and MiPartyApp policies.
Vendors may not sell, scrape, harvest, publish, share for unrelated purposes, or misuse private lead, Guest, Member, or event data. Access to a lead does not guarantee that the person will respond, purchase, book, or consent to unrelated marketing.
7. Vendor Profiles and Content
Vendors are responsible for the accuracy and legality of their business names, logos, photographs, videos, descriptions, service claims, prices, availability, links, promotions, and other submitted content. Vendors represent that they have all rights and permissions necessary to submit and use that content.
MiPartyApp may format, resize, categorize, display, promote, or technically process Vendor content as reasonably necessary to operate and market the Platform. MiPartyApp may remove or restrict inaccurate, misleading, unlawful, infringing, unsafe, outdated, or policy-violating content.
8. Vendor Qualifications and Independent Responsibility
Each Vendor is an independent business and is solely responsible for its services, products, personnel, subcontractors, licenses, permits, insurance, taxes, safety practices, customer agreements, legal compliance, and fulfillment. Unless expressly stated otherwise, MiPartyApp does not perform background checks or independently verify every Vendor claim, license, insurance policy, or qualification.
Vendors may not represent themselves as employees, agents, partners, franchisees, or legal representatives of MiPartyApp and may not bind MiPartyApp to any agreement.
9. Sponsored and Featured Placement
Paid placement labels such as “Sponsored,” “Featured,” “Priority,” “Top Featured,” or similar terms indicate an advertising or package benefit. They do not mean that MiPartyApp endorses, recommends, certifies, guarantees, or warrants the Vendor or its services.
10. Billing, Refunds and Chargebacks for Star Packages
By purchasing or renewing a Star Package, the Vendor authorizes MiPartyApp and its payment processor to charge the disclosed package price, applicable taxes, and other charges affirmatively accepted at checkout. The MiPartyApp Refund & Cancellation Policy and any legally required consumer or commercial protections apply to refund eligibility.
A refund, chargeback, payment reversal, failed payment, fraudulent payment, or cancellation of an eligible Star Package sale may cause the related Affiliate commission to be cancelled, withheld, or reversed under the Affiliate Program Terms. This does not create a transaction commission against the Vendor’s separate customer revenue.
11. No Anti-Circumvention Fee Under the Current Model
Because MiPartyApp does not currently charge a percentage of Vendor customer bookings under the Star Package model, Vendors are not required to pay MiPartyApp a transaction commission merely because they complete a booking, collect a deposit, invoice a customer, or receive payment outside MiPartyApp after a MiPartyApp introduction.
Vendors may not, however, misuse Platform data, manipulate Affiliate tracking, evade valid Star Package charges, commit fraud, or interfere with MiPartyApp systems. Any future transaction-based program will require separate affirmative acceptance as described in Section 12.
12. Future Marketplace Transaction Programs
MiPartyApp may later introduce optional or additional marketplace checkout, booking, payment-processing, referral-fee, transaction-fee, commission, or revenue-share programs. No such future percentage or transaction fee will apply to a Vendor merely because these Vendor Terms mention the possibility of future programs.
Before a future transaction-based fee applies, MiPartyApp will disclose the applicable program terms and fees and require the Vendor to affirmatively accept them through a separate agreement, order form, checkout, dashboard acceptance, or other clear electronic acceptance. Unless and until the Vendor accepts those additional terms, the current Star Package advertising model described in these Vendor Terms applies.
Future terms may address transaction attribution, payment processing, refunds, chargebacks, reporting, off-platform transactions, payout timing, and other marketplace mechanics. Those future rules will apply prospectively as disclosed and accepted.
13. No Guarantee of Leads or Business Results
MiPartyApp provides advertising, visibility, technology, lead-access tools, and promotional opportunities. MiPartyApp does not guarantee a particular number of event placements, impressions, inquiries, leads, bookings, customers, sales, revenue, profit, or return on investment. Results depend on factors outside MiPartyApp’s control.
14. Prohibited Vendor Conduct
- Fraud, impersonation, or deceptive business practices;
- False or misleading pricing, availability, qualifications, licensing, insurance, or service claims;
- Misuse or unauthorized sale of Member, Guest, event-owner, or lead data;
- Spam or unlawful marketing communications;
- Fake reviews, fake leads, fake transactions, or manipulation of rankings or Affiliate tracking;
- Malware, scraping of private information, interference with Platform security, or unauthorized access;
- False claims that MiPartyApp endorses, guarantees, employs, or certifies the Vendor;
- Any use that violates applicable law, the Master Terms, or MiPartyApp policies.
15. Reviews and Marketplace Feedback
Where reviews or ratings are available, Vendors may not submit reviews of themselves, purchase or solicit false reviews, threaten customers over legitimate feedback, or manipulate review systems. MiPartyApp may moderate or remove content that violates Platform policies or applicable law but does not guarantee that every review is accurate.
16. Intellectual Property and Brand Use
MiPartyApp™, its software, Marketplace, logos, interfaces, designs, documentation, and proprietary systems remain owned by MiPartyApp or its licensors. Vendor participation does not transfer ownership of MiPartyApp intellectual property. Vendors may use MiPartyApp-approved promotional assets only as authorized and may not imply an exclusive relationship or ownership without written permission.
17. Taxes
Vendors are responsible for determining and satisfying taxes arising from their own customer sales and business operations. MiPartyApp may collect taxes on Star Package purchases when required by law. Nothing in these Vendor Terms is tax advice.
18. Suspension, Cancellation and Termination
MiPartyApp may suspend or terminate Vendor access for material violations, fraud, unlawful conduct, nonpayment, misuse of customer data, significant safety concerns, abuse, or other grounds permitted by the Master Terms or applicable law. Vendors may cancel recurring Star Packages according to the applicable cancellation process.
Cancellation or termination does not erase amounts properly charged or obligations that accrued before the effective date of cancellation or termination. If access ends before a paid advertising term expires because of a Vendor’s material violation, refund eligibility is governed by the applicable Refund & Cancellation Policy and law.
19. Relationship to Master Terms
The disclaimers, limitation of liability, indemnification, governing law, dispute resolution, intellectual property, prohibited-use, service-availability, and other generally applicable provisions of the Master Terms are incorporated into these Vendor Terms to the extent relevant. These Vendor Terms control where a conflict specifically concerns the current Vendor Star Package advertising model.
20. Supplemental Terms and Order of Control
MiPartyApp may use package-specific checkout terms, promotions, order forms, category rules, Affiliate Program Terms, or signed agreements. For a specific conflict, a mutually signed agreement that expressly overrides these Vendor Terms controls first, followed by package- or transaction-specific terms affirmatively accepted by the Vendor, these Vendor Terms, and then the Master Terms. The Privacy Policy governs personal-data handling to the extent applicable.
21. Changes to These Vendor Terms
MiPartyApp may update these Vendor Terms as the Vendor program evolves. Material changes will be communicated as required by applicable law. A future marketplace commission or transaction-based fee will not be imposed solely through a general update to these Vendor Terms; such a program will require the separate affirmative acceptance described in Section 12.
22. Contact
Questions about Vendor participation, Star Packages, advertising placement, billing, leads, or these Vendor Terms may be directed to MiPartyApp through the support contact information published on MiPartyApp.com or through the Vendor dashboard.
These terms supplement the MiPartyApp Terms & Conditions, Privacy Policy and Refund & Cancellation Policy.
